The Board of Directors of XDL wishes to propose the nomination of Messrs Afrizan Tarmili Khairul Azhar (AF 1300) as the Auditors of the Company for the financial year ending 31 December 2018 in place of the retiring Auditors, Messrs BDO ("Proposed Change of Auditors"). The Proposed Change of Auditors is in conjunction with good corporate governance of revisiting the appointment of the Company's Auditors from time to time and the Company has received letter from Messrs BDO stated that they would not seek for re-appointment as Auditors of the Company at the forthcoming Annual General Meeting of Company for the ensuing financial year.

The Proposed Change of Auditors is subject to the approval of the shareholders of XDL at the forthcoming Ninth Annual General Meeting of the Company to be convened at a date, which will be notified later.
