(For consistency, the abbreviations used throughout this announcement shall have the same meanings as defined in the announcement dated 31 March 2017 in relation to the Proposed Share Consolidation, where applicable, unless stated otherwise or defined herein.)

We refer to the earlier announcements in relation to the Proposed Share Consolidation dated 31 March 2017 and 5 April 2017.

On behalf of the Board, Mercury Securities wishes to announce that Bursa Securities had, vide its letter dated 11 April 2017 approved the Proposed Share Consolidation.

The approval by Bursa Securities is subject to, amongst others, the following conditions:-

(i)         XDL is required to obtain Shareholders’ approval for the Proposed Share Consolidation;

(ii)         Mercury Securities is required to make the relevant announcements pursuant to Paragraph 13.10(2) of the Main Market Listing Requirements; and

(iii)        XDL / Mercury Securities must also make an announcement on any subsequent revisions / amendments to the profile of the Warrants (including any revisions arising from adjustment).
