(For consistency, the abbreviations used throughout this announcement shall have the same meanings as those defined in the announcement dated 7 August 2015 in relation to the Proposed Bonus Issue, where applicable, unless stated otherwise or defined herein.)

On behalf of the Board of Directors of XDL, Mercury Securities Sdn Bhd (“Mercury Securities”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has, vide its letter dated 27 August 2015, approved the listing and quotation of the following:-

(i)         up to 1,969,858,013 Bonus Shares to be issued pursuant to the Proposed Bonus Issue;

(ii)         up to 181,499,212 additional Warrants B to be issued pursuant to the adjustment made arising from the Proposed Bonus Issue;

(iii)        up to 440,638,356 additional Warrants C to be issued pursuant to the adjustment made arising from the Proposed Bonus Issue; and

(iv)        up to 622,137,568 new XDL Shares to be issued arising from the exercise of additional Warrants B and additional Warrants C.

The approval granted by Bursa Securities for the above is subject to, amongst others, the following conditions:-

(i)         XDL and Mercury Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Bonus Issue;

(ii)         XDL and Mercury Securities to inform Bursa Securities upon the completion of the Proposed Bonus Issue;

(iii)        XDL to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue is completed;

(iv)        XDL and Mercury Securities are required to make the relevant announcements pursuant to Paragraphs 6.35(2)(a) and (b) and 6.35(4) of the Listing Requirements pertaining to the Proposed Bonus Issue; and

(v)        the Bonus Shares, additional Warrants B and additional Warrants C must be listed simultaneously.
