Reference is made to the announcements on 30 September 2013 and 3 October 2013 in relation to the Proposals (“Announcement”). For consistency, the abbreviations used throughout this announcement are the same as those previously defined in the Announcement.

On behalf of the Board of Directors of the Company, Mercury Securities Sdn Bhd (“Mercury Securities”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has, vide its letter dated 7 November 2013, approved the following:

(a)       admission to the Official List and listing and quotation of up to 241,998,950 Warrants 2013 to be issued pursuant to the Proposed Rights Issue;

(b)       listing and quotation of up to 322,665,266 Rights Shares to be issued pursuant to the Proposed Rights Issue;

(c)   listing and quotation of up to 241,998,950 Bonus Shares to be issued pursuant to the Proposed Rights Issue;

(d)    listing and quotation of up to 241,998,950 new XDL Shares arising from the exercise of the Warrants 2013;

(e)    listing and quotation of up to 19,779,602 Additional Warrants 2012/2015 (“Warrants 2012/2015”) to be issued pursuant to the Proposed Rights Issue; and

(f)     listing and quotation of up to 19,779,602 new XDL Shares arising from the exercise of the Additional Warrants 2012/2015.

The approval by Bursa Securities for the Proposed Rights Issue is subject to the following conditions:

(1)       XDL and Mercury Securities, being the principal adviser, must fully comply with the relevant provisions under the Main Market Listing Requirements (“LR”) pertaining to the implementation of the Proposed Rights Issue;

(2)       XDL and Mercury Securities to inform Bursa Securities upon the completion of the Proposed Rights Issue;

(3)       XDL to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights issue is completed;

(4)       XDL to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants 2013 as at the end of each quarter together with a detailed computation of listing fees payable; and

(5)       To incorporate Bursa Securities’ comments into the draft circular to shareholders.
