We refer to the earlier announcements made on behalf of XDL by AmInvestment Bank Berhad (a member of AmInvestment Bank Group) (“AmInvestment Bank”) in relation to the Private Placement on 9 December 2010, 10 December 2010, 28 December 2010, 12 January 2011, 18 January 2011, 28 January 2011 and 7 February 2011.

(Unless otherwise defined, all terms used in this announcement shall have the same meaning ascribed to them in the earlier announcements on the Private Placement)

On behalf of XDL, AmInvestment Bank is pleased to announce that the Private Placement is deemed completed following the listing and quotation of the second and final tranche of the Private Placement, comprising 19,999,900 Shares on the Main Market of Bursa Malaysia Securities Berhad on 8 February 2011.

The placement of 20,000,000 Placement Shares under the first tranche of the Private Placement was completed on 19 January 2011.
