Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of XiDeLang Holdings Ltd (“XDL”) wishes to announce that XDL had on 8 February 2018 incorporated a wholly-owned subsidiary in Malaysia, namely XiDeLang Network Technology Sdn. Bhd. (“XDLNT”). The total issued and paid up share capital of XDLNT is RM1.00 comprising of one (1) ordinary share. The Notice of Registration pursuant to Section 15 of the Companies Act 2016 was received on 8 February 2018.

The intended principal activity of XDLNT is to provide cloud services, internet marketing and E-Commerce services.

The incorporation of XDLNT will not have any material effect on the share capital, shareholding structure, net assets and earnings of XDL.

Save for Ms Ding PengWan and Mr Woon Yeow Thong being the common Directors of XDL and XDLNT, none of the other directors and/or major shareholder(s) of XDL or persons connected to the directors and/or major shareholder(s) of XDL have any interest, direct or indirect in the said incorporation.
