Reference is made to the announcement on 30 September 2013 in relation to the Proposals (“Announcement”). For consistency, the abbreviations used throughout this announcement are the same as those previously defined in the Announcement.

On behalf of XDL, Mercury Securities Sdn Bhd (“Mercury Securities”) wishes to provide further information on the adjustments to the existing Warrants 2012/2015 arising from the Proposed Rights Issue, as follows:-

(i)         Exercise price of Warrants 2012/2015

The current exercise price of the Warrants 2012/2015 is RM0.35 per Warrant 2012/2015. Pursuant to the provisions of the deed poll governing the Warrants 2012/2015, the adjustments arising from the Proposed Rights Issue will not result in any change to the exercise price of the Warrants 2012/2015.

(ii)        Number of Warrants 2012/2015

Under the Minimum Scenario, the Proposed Rights Issue will give rise to 19,779,602 Additional Warrants, yielding a total number of 261,778,552 Warrants 2012/2015. There will be no Additional Warrants under the Maximum Scenario as all outstanding Warrants 2012/2015 is assumed to be exercised prior to the Entitlement Date.

In addition to the above, on behalf of XDL, Mercury Securities is pleased to announce that the listing application in respect of the Proposed Rights Issue has been submitted to Bursa Securities on 3 October 2013.
