BONUS ISSUE OF 241,998,950 NEW ORDINARY SHARES OF US$0.10 EACH IN XDL (“SHARES”) (“BONUS SHARES”), TO BE CREDITED AS FULLY PAID-UP AT PAR, ON THE BASIS OF ONE (1) BONUS SHARE FOR EVERY TWO (2) EXISTING SHARES HELD BY THE ENTITLED SHAREHOLDERS OF XDL AS AT 5.00 P.M. ON 29 MARCH 2012 (“BONUS ISSUE”)

We refer to the announcements made on behalf of XDL by AmInvestment Bank Berhad (“AmInvestment Bank”) on 18 January 2012, 10 February 2012, 22 February 2012 and 15 March 2012 in relation to the Bonus Issue (“Announcements”). For consistency, the abbreviations and definitions used throughout this announcement are the same as those previously defined in the Announcements.

On behalf of the Board of Directors of XDL (“Board”), AmInvestment Bank Berhad wishes to announce that 241,998,950 Bonus Shares were issued pursuant to the Bonus Issue.

The Bonus Issue will be completed with the listing and quotation of the Bonus Shares on the Main Market of Bursa Malaysia Securities Berhad on Friday, 30 March 2012.
